Welcome to Systems of Clarity™ (“SOC”). These Terms of Use (“Terms”) form a contract between you and Systems of Clarity™ / Nay Charles (“we,” “us,” “our”) and govern your access to and use of our websites, programs, groups, content, and services (collectively, the “Site”). By using the Site, you agree to these Terms and our Privacy Policy and Terms of Purchase & Refund Policy. If you do not agree, do not use the Site. You represent that you are 18 years or older and able to form a binding contract.

We may update these Terms at any time. Changes are effective when posted. Your continued use means you accept the updated Terms.

1) Use of the Site

You agree to use the Site lawfully and respectfully. You may not:

Violate any law or infringe others’ rights.

Upload or transmit malware, spam, or harmful code.

Attempt to gain unauthorized access to any part of the Site.

Disrupt or interfere with Site operation or security.

Misuse any community, group, or classroom space (including the SOC Network).

We may modify, suspend, or discontinue any part of the Site at any time without liability.

2) Accounts & Security

Some features require an account. You agree to provide accurate information and to keep your login credentials confidential. Your account is personal to you; do not share access. Notify us immediately of any unauthorized use. We may disable accounts that violate these Terms.

3) Intellectual Property

All content on the Site—including text, frameworks, graphics, logos, photos, videos, audio, worksheets, templates, course materials, and recordings—is owned by Systems of Clarity™ or its licensors and protected by intellectual property laws. We grant you a limited, non-transferable, non-exclusive, revocable license for personal, non-commercial use only.
You may not copy, reproduce, distribute, modify, create derivative works, publicly display, sell, or exploit any content without prior written permission. If you breach these Terms, your right to use the Site and materials ends immediately.

4) Classroom Culture & Recordings

SOC is a live, teacher-led learning environment. By attending live or online sessions, you agree to:

Participate respectfully (students address the teacher as “Ms. Nay”).

Complete and submit assignments on time, when required.

Maintain confidentiality of other students’ shared information.

Keep cameras on during classes that require verification of participation.

Recording Consent. We may record audio, video, screenshots, chat, homework submissions, and testimonials. You grant SOC a worldwide, royalty-free license to use your name, likeness, voice, and submissions for educational, promotional, and archival purposes, without additional approval or compensation.

5) Purchases & Payments

All purchases are governed by our Terms of Purchase & Refund Policy (including refunds, transfers, homework requirements, and timelines). Payment plans, if offered, must be completed in full. Access to programs, groups, or content may be suspended for non-payment.

6) No Guarantees; Educational Purpose Only

Our programs are designed to provide education, systems, and accountability. While many students experience strong results when they apply the tools, we do not guarantee any particular outcome. Your results depend on your own effort, choices, and circumstances. Testimonials are examples only and not promises of similar results. Nothing on the Site is medical, legal, financial, or psychological advice.

7) User Content & Community Conduct

If you post, upload, or share content (e.g., homework, comments, messages) you:

Grant SOC a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and create derivative works from that content for program operations and promotional purposes.

Represent that you own or have rights to share the content.

Agree not to post unlawful, harassing, defamatory, obscene, hateful, or infringing content.
We may remove content or restrict access for violations.

8) Third-Party Links & Tools

The Site may link to third-party sites or use third-party tools (e.g., Zoom). We are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

9) Technology, Availability & Disclaimer

We do not warrant that the Site will be uninterrupted, secure, or error-free. Content is provided “as is” and “as available.” To the fullest extent allowed by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

10) Limitation of Liability

To the fullest extent permitted by law, Systems of Clarity™, Nay Charles, and our team will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages; or for lost profits, data, goodwill, or business; arising from or related to your use of the Site or services—even if advised of the possibility. Our total liability for any claim will not exceed the amount you paid to SOC for the service giving rise to the claim.

11) Termination

We may suspend or terminate your access at any time for any reason, including violation of these Terms or community guidelines. Termination does not affect rights or obligations that accrued before termination.

12) Changes to These Terms

We may revise these Terms from time to time. Updates are effective upon posting to the Site. Please review periodically.

13) Governing Law & Venue

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. You agree that exclusive jurisdiction and venue for any dispute will be in the state or federal courts located in Orange County, Florida.

Time Limits. Any claim arising out of or relating to the Site or these Terms must be filed within one (1) year of the event giving rise to the claim, or it is permanently barred.

Class Action Waiver. To the extent permitted by law, disputes must be brought in an individual capacity and not as a plaintiff or class member in any class, consolidated, or representative action.
